These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Twilight28 Ltd, trading as LeadFocus.io ("LeadFocus," "we," "us," or "our"), governing your access to and use of our services.

By checking the checkbox at checkout, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Our Services

LeadFocus provides done-for-you digital marketing infrastructure for contractors and home service businesses. This includes, but is not limited to, website design and hosting, local search optimisation, automated communication tools, reputation management, and related ongoing services (collectively, the "Services").

The specific components active on your account will be outlined during onboarding. We reserve the right to update, modify, or improve the Services at any time without notice, provided the core functionality is maintained.


3. Subscription and Billing

3.1 Month-to-Month Agreement

Your subscription runs on a calendar month basis. There is no fixed-term commitment — you may cancel at any time.

3.2 Billing

Subscription fees are billed in advance on a recurring monthly basis. By providing your payment details, you authorise LeadFocus to charge your payment method automatically each billing cycle.

3.3 Pricing

Current subscription pricing is communicated at the point of purchase. We reserve the right to modify pricing with no less than 30 days written notice to your registered email address.

3.4 Mid-Month Cancellation

If you cancel your subscription mid-billing period, you will retain full access to the Services until the end of your current paid billing period. No partial refunds will be issued for unused days within a billing period, except as outlined in Section 4.


4. Refund Policy

4.1 30-Day Satisfaction Period

If you are not satisfied with the Services, you may request a full refund within 30 days of your initial signup date by contacting [email protected].

4.2 Service Delivery Window

We aim to deliver your initial setup within 7 days of signup. The 30-day satisfaction period begins from your signup date, giving you a minimum of 21 days to evaluate the fully delivered service.

4.3 No Refunds After 30 Days

After the 30-day satisfaction period has elapsed, all subscription payments are non-refundable. Cancellation will prevent future charges but will not entitle you to a refund of any amounts already paid.

4.4 Exceptions

Refunds outside the 30-day window will not be issued except where required by applicable law.


5. Website Ownership and Intellectual Property

5.1 Website Ownership

Any website designed, built, and hosted by LeadFocus as part of the Services remains the sole intellectual property of Twilight28 Ltd throughout the duration of the subscription. You are granted a non-exclusive licence to use the website solely for the purpose of your business during an active subscription.

5.2 Effect of Cancellation

Upon cancellation or termination of your subscription, your licence to use the website will expire at the end of the final paid billing period. LeadFocus reserves the right to take the website offline at that point. No website files, code, or assets will be transferred to you upon cancellation.

5.3 Your Content

Any content you provide to LeadFocus (including logos, images, text, and business information) remains your property. You grant LeadFocus a non-exclusive licence to use this content solely for the purpose of delivering the Services.

5.4 LeadFocus Intellectual Property

All other intellectual property including systems, automations, workflows, templates, and processes used to deliver the Services remain the exclusive property of Twilight28 Ltd and may not be copied, reproduced, or reverse engineered.


6. Client Responsibilities

You agree to:

  • Provide accurate business information during onboarding and keep it up to date
  • Grant LeadFocus necessary access to platforms required to deliver the Services (e.g. Google Business Profile)
  • Use the Services in compliance with all applicable laws and regulations
  • Not use the Services for any unlawful, fraudulent, or harmful purpose
  • Not attempt to reverse engineer, copy, or replicate any part of the LeadFocus system or methodology

7. Service Availability and Modifications

We aim to maintain consistent service availability but do not guarantee uninterrupted access. We reserve the right to carry out maintenance, updates, or modifications to the Services at any time. Where planned downtime is required, we will endeavour to provide advance notice.

We reserve the right to discontinue any feature or component of the Services with 30 days written notice, provided a reasonable alternative or adjustment is offered.


8. Limitation of Liability

8.1 No Guarantee of Results

LeadFocus provides marketing infrastructure and tools. We do not guarantee specific business outcomes including but not limited to lead volume, revenue growth, or search engine rankings. Results will vary depending on market conditions, client industry, and other factors outside our control.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, LeadFocus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services.

8.3 Maximum Liability

Our total liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.


9. Termination

9.1 Cancellation by You

You may cancel your subscription at any time by contacting [email protected]. Cancellation will take effect at the end of your current billing period.

9.2 Termination by LeadFocus

We reserve the right to suspend or terminate your account immediately and without refund if you:

  • Breach any provision of these Terms
  • Use the Services in a manner that causes harm to LeadFocus or third parties
  • Fail to make payment when due
  • Engage in abusive, threatening, or fraudulent behaviour toward our team

9.3 Effect of Termination

Upon termination, your access to the Services will cease, the website licence will expire, and no further charges will be made. Sections 5, 8, and 10 survive termination.


10. Governing Law and Disputes

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

10.2 US Clients

For clients based in the United States, while these Terms are governed by English law, LeadFocus acknowledges applicable US consumer and business protection laws. Nothing in these Terms is intended to exclude rights you may have under applicable US federal or state law.

10.3 Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution in good faith through direct communication. If unresolved within 30 days, disputes shall be referred to binding arbitration under the rules of the London Court of International Arbitration (LCIA), unless both parties agree otherwise in writing.


11. Privacy and Data

We collect and process personal data in connection with the delivery of our Services. Our full Privacy Policy, available at leadfocus.io/privacy, sets out how we handle your data in accordance with applicable UK and international data protection law. By agreeing to these Terms you also acknowledge our Privacy Policy.


12. General

12.1 Entire Agreement

These Terms, together with any onboarding documentation provided, constitute the entire agreement between you and LeadFocus in relation to the Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Amendments

We reserve the right to update these Terms at any time. We will notify you of material changes via email with no less than 14 days notice. Continued use of the Services following notice constitutes acceptance of the updated Terms.

12.4 Waiver

Failure by LeadFocus to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
